Effective Date: June 23rd, 2026

This Membership Agreement governs recurring cosmetic whitening memberships, subscription services, recurring product shipments, and membership-related benefits offered by Orisha Teeth Whitening.

1. Membership Overview

Memberships may include recurring cosmetic whitening products, touch-up products, discounts, promotional pricing, priority booking, cosmetic support materials, or additional membership-related benefits.

Membership details, shipment intervals, and pricing structures may vary by membership plan.

2. Recurring Billing Authorization

By enrolling in a membership, you authorize Orisha Teeth Whitening to automatically charge your selected payment method for recurring membership fees according to your chosen billing cycle.

Billing intervals may include recurring charges every 4 weeks, 6 weeks, 8 weeks, monthly, or other disclosed intervals depending on the membership selected.

2.1 Membership Term & Renewal

Memberships continue on a recurring basis according to the selected billing cycle unless canceled in accordance with this Agreement

By enrolling, Members authorize recurring billing until cancellation is properly submitted and processed in accordance with applicable membership policies.

3. Shipment Scheduling

Membership shipments are processed according to the schedule associated with the selected membership plan.

Shipment timing may vary due to:

• Inventory availability;

• Shipping carrier delays;

• Holidays;

• Operational interruptions;

• High-volume periods

Estimated shipment windows are not guaranteed delivery dates.

4. Product Usage Disclaimer

Products included within memberships remain subject to the Orisha Teeth Whitening Product Disclaimer, including all cosmetic-use, self-administration, eligibility, and limitation-of-liability provisions.

5. Membership Cancellations

Members may cancel their membership by submitting a cancellation request at least 7–10 business days prior to the next scheduled billing date.

Cancellation requests submitted after a billing cycle has processed may apply to future billing cycles only.

Previously processed membership charges are generally non-refundable.

5.1 Effect of Cancellation

Cancellation prevents future recurring charges but does not automatically entitle Members to refunds for previously processed payments, previously shipped products, previously provided benefits, or services already rendered.

Membership benefits may continue through the end of the current billing period unless otherwise specified by the applicable membership plan.

6. Failed Payments

If a recurring payment fails:

• Membership benefits may be paused;

• Shipments may be delayed;

• Accounts may be suspended until payment is resolved.

Orisha Teeth Whitening reserves the right to retry failed payments using the authorized payment method on file.

7. Membership Modifications

Orisha Teeth Whitening reserves the right to:

• Modify membership pricing;

• Adjust membership benefits;

• Update shipment schedules;

• Discontinue membership offerings;

• Modify membership structures.

Reasonable notice may be provided where appropriate.

7.1 Changes to Membership Plans

Members may request changes to available membership plans where permitted by Orisha Teeth Whitening.

Plan changes may become effective immediately, on the next billing cycle, or at another time communicated to the Member.

8. Non-Transferability

Memberships are non-transferable and may not be resold, reassigned, or shared without written authorization.

8.1 Membership Account Responsibility

Members are responsible for maintaining accurate account, billing, shipping, and contact information.

Orisha Teeth Whitening is not responsible for missed communications, delayed shipments, interrupted membership benefits, or account-related issues resulting from inaccurate or outdated information provided by the Member.

9. Refund Policy

Membership charges are generally non-refundable once processed.

Refunds will not be issued for:

• Unused shipments;

• Delayed product usage;

• Dissatisfaction based solely on cosmetic result variation;

• Failure to follow product instructions;

• Shipment delays outside of our direct control.

9.1 Promotional & Discounted Memberships

Promotional memberships, discounted memberships, founding member offers, introductory pricing, bundled promotions, gifted memberships, or special membership campaigns may be subject to additional terms disclosed at the time of enrollment.

Unless otherwise stated in writing, promotional pricing may not be combined with other offers or discounts.

10. Right to Suspend or Terminate Memberships

Orisha Teeth Whitening reserves the right to suspend, limit, deny, or terminate memberships for:

• Abusive behavior;

• Fraudulent activity;

• Payment disputes;

• Policy violations;

• Misuse of membership benefits;

• Suspected unauthorized resale.

10.1 Membership Misuse

Membership benefits are intended solely for the enrolled Member unless otherwise expressly authorized by Orisha Teeth Whitening.

Misuse of membership benefits, unauthorized sharing, abuse of promotional offers, fraudulent activity, chargeback abuse, or attempts to circumvent membership policies may result in suspension or termination of membership benefits without refund, to the extent permitted by applicable law.

10.2 Membership Pauses

Memberships may be eligible for temporary pauses, suspensions, or extensions at the sole discretion of Orisha Teeth Whitening.

Approval, duration, eligibility requirements, and limitations for membership pauses may vary by membership plan and are not guaranteed.

11. Relationship to Other Policies

Membership participation is also subject to applicable provisions contained within Orisha Teeth Whitening's Terms & Conditions, Privacy Policy, Product Disclaimer, Refund & Cancellation Policy, and any membership-specific materials provided to Members.

In the event of a conflict between this Membership Agreement and another policy specifically governing memberships, this Membership Agreement shall control with respect to membership-related matters.

12. Limitation of Liability

To the fullest extent permitted by law, Orisha Teeth Whitening shall not be liable for delays, interruptions, cosmetic result variation, shipping delays, product dissatisfaction, or indirect damages associated with membership participation.

12.1 Membership Benefits & Availability

Membership benefits, included products, discounts, promotional offers, booking privileges, support services, educational resources, or other membership features may change based upon availability, inventory, operational requirements, supplier availability, business needs, or program updates.

Orisha Teeth Whitening does not guarantee the continued availability of any specific benefit, product, service, feature, or promotional offering.

12.2 Membership Records & Account Retention

Membership records, account history, billing records, shipment history, communications, and related account information may be retained for administrative, operational, accounting, legal, customer service, compliance, recordkeeping, and program management purposes.

Expired, cancelled, suspended, or inactive memberships may remain archived in accordance with applicable legal, accounting, operational, and business requirements.

12.3 No Guarantee of Results

Cosmetic whitening results vary by individual. Membership participation does not guarantee specific whitening outcomes, whitening shades, duration of results, or cosmetic improvements.
