Effective Date: June 23rd, 2026

1. Introduction

This Training & Certification Agreement ("Agreement") governs participation in any Training Programs, workshops, courses, educational resources, and related educational services offered by Orisha Teeth Whitening ("Company," "we," "our," or "us").

By purchasing, enrolling in, accessing, participating in, or completing any training programs offered by Orisha Teeth Whitening, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

These definitions apply throughout all Orisha Teeth Whitening agreements unless otherwise stated.

Training & Certification Agreement governs all Training Programs.

Terms & Conditions govern all Services, Clients, bookings, and website use.

Product Disclaimer governs all Products and wholesale goods.

Media Release governs all media, content, and usage rights.

Privacy Policy governs all personal data collection and processing.

1.1 Definitions

"Training Programs" means certification programs, workshops, courses, educational resources, educational services, and related educational offerings provided by Orisha Teeth Whitening.

"Participant" means any individual enrolled in, purchasing, accessing, or participating in a Training Program.

"Certificate of Completion" means an acknowledgment issued by Orisha Teeth Whitening recognizing successful completion of an applicable Training Program and does not constitute licensure, accreditation, authorization, or governmental approval.

"Certification Designation" means any certification title, designation, badge, certification mark, credential identifier, or certification-related status granted by Orisha Teeth Whitening in connection with successful completion of an applicable Training Program, including any successor designations established by the Company.

These definitions apply throughout this Agreement unless otherwise stated.

2. Eligibility

Participants must:

• Be at least 18 years of age or have legally authorized parental or guardian consent where permitted by law;

• Provide accurate and complete registration information;

• Be legally capable of entering into binding agreements; and

• Comply with all applicable laws, regulations, licensing requirements, and business obligations applicable to their jurisdiction.

• Participation in our training programs does not create any employment, partnership, franchise, agency, or business relationship between you and Orisha Teeth Whitening.

3. Educational Purpose Only

All training programs, training materials, demonstrations, discussions, presentations, resources, templates, guides, forms, examples, recommendations, and educational content are provided solely for informational and educational purposes.

Nothing provided through our training programs constitutes:

• Legal advice;

• Regulatory advice;

• Tax advice;

• Accounting advice;

• Insurance advice;

• Medical advice;

• Dental advice;

• Healthcare advice; or

• Professional consulting services.

Participants should consult qualified professionals regarding matters specific to their business, operations, location, legal obligations, or professional circumstances.

4. Cosmetic Whitening Training Disclaimer

Orisha Academy provides training, education, and certification exclusively related to cosmetic teeth whitening techniques and cosmetic whitening business operations. 

Participants are expressly prohibited from representing themselves as dental professionals, licensed dental providers, or healthcare practitioners by virtue of completing any Orisha Academy training or certification program.

Training Programs do not confer any professional status, certification equivalence, or regulatory recognition.

5. Certificate of Completion

Upon successful completion of applicable program requirements, participants may receive a Certificate of Completion issued by Orisha Academy.

Eligible participants may also be granted an applicable Certification Designation in accordance with Section [Certification Designation, Branding, and Usage Rights].

A Certificate of Completion acknowledges successful completion of the applicable training program and signifies only that the participant has completed the requirements established by Orisha Teeth Whitening for that program. It is an internal acknowledgment of training completion and does not represent or imply any external professional qualification.

A Certificate of Completion does not:

• Constitute a professional license;

• Constitute government approval;

• Constitute accreditation;

• Create any professional designation recognized by governmental authorities;

• Guarantee competency, expertise, or proficiency;

• Authorize operation in any specific jurisdiction;

• Guarantee legal compliance; or

• Constitute legal authorization or regulatory approval.

Participants may not represent or imply that a Certificate of Completion grants licensing, accreditation, or legal authority to perform, offer, or advertise regulated dental, healthcare, or clinical services.

Participants remain solely responsible for determining whether they may legally offer services within their jurisdiction.

See Sections 6 and 13 for certification designation usage requirements, certification rights, revocation provisions, and related limitations.

6. Certification Designation, Branding, and Usage Rights

Participants who successfully complete an applicable Training Program may be granted the right to use an applicable Certification Designation designated by Orisha Teeth Whitening, including but not limited to Orisha Certified Smile Professional, Orisha Certified Smile Executive, or any updated, revised, or successor designation established or modified by the Company.

Certification status may be referenced in marketing materials, websites, social media content, business materials, and professional biographies, provided all references are truthful, accurate, and not misleading.

Participants may not represent certification as a professional license, medical credential, dental credential, governmental approval, regulatory authorization, accreditation, or guarantee of competency, results, business success, or professional outcomes.

Any trademarks, logos, certification marks, badges, graphics, branding elements, or certification assets provided by the Company remain the exclusive property of the Company. Participants may not modify, recreate, alter, adapt, distort, remove branding from, or create derivative versions of any Company-provided branding or certification assets.

Where certification badges, logos, graphics, or certification assets are provided, participants may use only the official versions supplied by the Company and only in accordance with any applicable certification usage guidelines.

The Company reserves the right to suspend, revoke, restrict, or terminate certification usage rights if the Company determines, in its sole discretion, that certification status, branding, certification assets, or related materials are being used inaccurately, misleadingly, unlawfully, or in a manner that may harm the Company's reputation, intellectual property, goodwill, or business interests.

Upon suspension, revocation, expiration, or termination of certification rights, participants must promptly cease using any certification designations, certification marks, badges, logos, graphics, or other certification-related branding identified by the Company.

7. Participant Responsibility for Compliance

Each participant acknowledges and agrees that they are solely responsible for understanding and complying with all laws, regulations, licensing requirements, health department requirements, business registration requirements, advertising regulations, consumer protection laws, insurance requirements, and other legal obligations applicable to their business activities.

Participants are solely responsible for compliance with all applicable laws, regulations, licensing requirements, and professional standards.

Orisha Teeth Whitening makes no representation that completion of any training program satisfies any legal, regulatory, licensing, permitting, certification, registration, or governmental requirement.

7.1 Assumption of Educational and Business Risk

Participants acknowledge and agree that participation in any Training Programs offered by Orisha Academy involves inherent educational, professional, operational, and financial risks.

Participant understands and voluntarily assumes all risks associated with the application, implementation, or use of any information, strategies, recommendations, systems, or educational content provided by Orisha Academy.

These risks include, without limitation, risks related to business formation and operation, marketing performance, client acquisition, financial outcomes, regulatory interpretation, and differences in individual execution, experience, and market conditions.

Participants acknowledge that results are not guaranteed and that outcomes will vary based on numerous factors beyond the control of Orisha Teeth Whitening, including but not limited to individual effort, skill, business decisions, market conditions, and external economic factors.

Participants agree that they are solely responsible for all decisions, actions, and results arising from their participation in any training or certification program.

8. No Business Success, Income, or Results Guarantee

Individual results vary significantly.

Orisha Teeth Whitening does not guarantee:

• Business success;

• Profitability;

• Income generation;

• Revenue growth;

• Client acquisition;

• Business expansion;

• Market demand; or

• Any specific financial outcome.

Success depends on numerous factors outside our control, including market conditions, participant effort, location, competition, pricing, marketing, customer service, and business management practices

Any examples, testimonials, case studies, or success stories presented during training are illustrative only and should not be interpreted as guarantees of future results.

9. Intellectual Property Rights

All videos, manuals, guides, presentations, worksheets, forms, checklists, templates, systems, processes, educational content, branding materials, graphics, documents, certifications designations, and related training materials are the exclusive property of Orisha Teeth Whitening unless otherwise stated.

Enrollment in a Training Program grants participants a limited, non-exclusive, non-transferable license to use training materials solely for their own personal or business purposes.

No ownership rights are transferred.

This license does not provide participants with exclusive ownership or exclusive rights to any training materials, educational content, systems, processes, business resources, or intellectual property associated with Orisha Teeth Whitening.

9.1 Orisha Academy, Programs, and Certification Designations

Orisha Academy

“Orisha Academy” means the educational and certification division operated by Orisha Teeth Whitening, which provides training programs, educational materials, and certification pathways related to cosmetic teeth whitening services and associated business development education.

This license further does not grant any ownership rights in or to the name Orisha Academy, or any associated programs, branding, systems, or intellectual property of the Company.

The Company retains full ownership and control of Orisha Academy, including all training programs, educational frameworks, business systems, branding, and intellectual property developed, provided, or operated under the Orisha Academy structure.

The Company retains full ownership and control of all certification designations, including any current or future titles issued under the Orisha Academy system. Such designations are licensed to participants solely as authorized by the Company, on a non-exclusive, non-transferable, and revocable basis, and may be modified, updated, or withdrawn at the Company’s discretion.

10. Restrictions on Use

Participants may not:

• Copy, reproduce, distribute, publish, sell, sublicense, or share training materials;

• Upload training materials to public websites or online platforms;

• Share login credentials or course access;

• Create competing training programs using our training materials;

• Remove proprietary notices or branding; or

• Represent our training materials as their own.

Unauthorized use may result in legal action, revocation of certification, termination of access, or other remedies available under applicable law.

Participants may not use Company intellectual property, training materials, branding, or related assets in any manner that violates this Agreement or any applicable certification usage guidelines.

11. Technology & Online Access

We make reasonable efforts to provide uninterrupted access to online training materials and platforms.

However, we do not guarantee uninterrupted availability.

We are not responsible for delays, interruptions, technical failures, internet outages, software issues, platform disruptions, or other circumstances beyond our reasonable control.

12. Refund Policy

Refund eligibility, if any, shall be governed by the refund policy in effect at the time of purchase.

Unless otherwise stated in writing, access to training materials, downloadable resources, digital content, or completed training sessions may affect refund eligibility.

Participants are responsible for reviewing all applicable refund policies prior to purchase.

13. Certification Revocation

Orisha Teeth Whitening reserves the right to suspend, revoke, invalidate, or refuse issuance of any certificate of completion at its sole discretion if it determines that a participant has engaged in any of the following:

• Fraud, misrepresentation, or falsification of information during enrollment or participation;

• Failure to complete required program components or assessments;

• Misuse, unauthorized use, improper representation, alteration, reproduction, or distribution of training materials, certification designations, certification assets, branding, trademarks, logos, badges, certificates, or intellectual property;

• Use of certification or training status in a false, misleading, deceptive, or unauthorized manner;

• Misrepresentation of affiliation with, endorsement by, or approval from Orisha Teeth Whitening; or
  Violation of this Agreement, applicable laws, regulations, or professional or ethical standards.

Participants acknowledge that certification issued by Orisha Academy does not constitute a professional license, government authorization, or regulatory approval, and may not be represented as such under any circumstances.

In the event of revocation, the participant’s certification becomes null and void, and any rights to represent themselves as certified under the Orisha Academy system are immediately terminated. 

Orisha Teeth Whitening reserves the right, through Orisha Academy, or its authorized representatives, to restrict or terminate access to training materials, platforms, mentorship, or community spaces where appropriate.

13.1 Community Access

Participants may be granted access to private communities, student groups, mentorship groups, discussion forums, educational platforms, social communities, online groups, or other community resources associated with Orisha Academy.

Community access is a privilege and may be suspended, restricted, or revoked at any time for violations of company policies, intellectual property protections, community guidelines, harassment, misuse, disruptive conduct, unlawful activity, or other behavior deemed inappropriate by Orisha Teeth Whitening.

Revocation of community access does not automatically affect certification status unless otherwise determined by Orisha Teeth Whitening.

13.2 Lifetime Mentorship Access

Orisha Teeth Whitening may provide ongoing mentorship, educational support, business guidance, operational recommendations, community access, growth strategies, industry insights, training updates, refresher materials, and related educational resources to eligible training participants.

Lifetime mentorship access refers to continued eligibility to participate in mentorship opportunities, educational resources, support channels, communities, and related offerings designated by Orisha Academy. Lifetime mentorship access does not guarantee any specific level of support, individualized business consulting, response time, availability, frequency of communication, instructor participation, business outcome, operational result, income level, client acquisition, certification outcome, or future service offering.

Orisha Teeth Whitening reserves the right to modify, replace, relocate, suspend, discontinue, restructure, or update Training Programs, platforms, communities, communication channels, educational resources, support methods, mentorship offerings, technologies, or related services at any time.

Lifetime mentorship access is personal to the participant, non-transferable, and may be suspended or revoked for violations of company policies, community guidelines, intellectual property protections, certification usage requirements, applicable agreements, unlawful conduct, misuse of Company resources, or other conduct determined by Orisha Teeth Whitening to be harmful to the business, community, participants, educational environment, intellectual property, brand reputation, or related interests.

14. Limitation of Liability

To the maximum extent permitted by law, Orisha Teeth Whitening shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from participation in any training programs.

This includes, without limitation:

• Lost profits;

• Lost revenue;

• Lost business opportunities;

• Business interruption;

• Regulatory actions;

• Professional disputes; or

• Claims made by third parties.

Our total liability arising from or relating to any training programs shall not exceed the amount paid by the participant for the applicable training program.

Certification issued by Orisha Academy reflects completion of a Training Program only and does not create any professional, regulatory, or governmental recognition or status.

15. Indemnification

Participants agree to defend, indemnify, and hold harmless Orisha Teeth Whitening, including its owners, officers, employees, contractors, affiliates, and representatives, from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Their participation in any Training Programs offered by Orisha Academy;

• Their business operations, services, or professional activities conducted after or during participation in the program;

• Their use, misuse, or implementation of any Training Programs, systems, strategies, or educational content provided by Orisha Academy;

• Any representations, claims, or statements made by the participant regarding their certification, training status, qualifications, or affiliation with Orisha Teeth Whitening;

• Any services performed by the participant for third parties, including but not limited to cosmetic whitening services or related business activities; or

• Any violation of applicable laws, regulations, licensing requirements, or this Agreement.

This indemnification obligation applies regardless of whether the claim arises during or after participation in the training program and survives termination, completion, or expiration of this Agreement.

16. Privacy

Personal information collected in connection with training programs shall be governed by our Privacy Policy.

By participating in our training programs, you acknowledge that your information may be collected, processed, stored, and used in accordance with our Privacy Policy.

Training-related information may include registration details, course participation records, certification records, communications, and related educational information.

16.1 Training & Certification Records

Training Programs participation and related administrative records may be retained by Orisha Teeth Whitening for administrative, verification, educational, operational, customer support, business, accounting, recordkeeping, legal, compliance, mentorship, certification validation, and program management purposes.

17. Program Changes

We reserve the right to modify, update, discontinue, expand, replace, or revise any Training Programs, including curriculum, structure, pricing, features, delivery methods, or related services at any time.

Such changes shall not affect obligations already completed prior to the effective date of the change.

17.1 Order of Precedence

If a conflict exists between this Agreement and any other applicable Orisha Teeth Whitening agreement, policy, waiver, consent form, membership agreement, refund policy, service agreement, or educational program document, this Agreement shall control with respect to Training Programs, Certificates of Completion, certification-related matters, mentorship services, and related educational services.

18. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which Orisha Teeth Whitening principally operates, without regard to conflict of law principles.

Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the appropriate courts located within that state unless otherwise required by applicable law.
